These Terms of Service (“Terms”) are issued by Shanghai Shiquan Network Technology Co., Ltd. (“TradPlus” or “We”), and aimed to specify the standard terms and conditions for developer partner (“Developer” or “You”) to register, log in, and use TradPlus Platform products and services. In order to use the TradPlus platform products and services, you will read and comply with these terms. Please be careful to read and fully understand the terms, especially those that exempt or restrict liability.

You are not authorized to register, log in, or use TradPlus Platform products and Services, unless you have read and accepted all the terms of this Terms. Your registration, acquisition of TradPlus platform accounts, login, use, etc. shall be deemed to have read and agreed to these terms. If you do not agree with the terms or conditions of this Terms, please do not create service accounts, access or use any services. This Terms will not in any way change the terms or conditions of any other agreement between You and TradPlus on products, services or other matters.

I. Definition

1. Developer / You: Partners who use the products and services of TradPlus advertising monetization.

2.TradPlus / We: It refers to a legal entity named Shanghai Shiquan Network Technology Co., LTD., a Chinese company engaged in Internet advertising services (Together with Developer known as “both Parties”, and “one Party” alone), namely, the legal owner of the TradPlus Platform, and is committed to providing global mobile advertising monetization products and services.

3.TradPlus Platform: An advertising monetization service platform owned, controlled and operated by TradPlus, and its website address at (http://www.tradplusad.com/) (if the domain name changes, the changed domain name shall prevail).

4. Third Party Cooperation Platforms: The platforms such as Meta and Admob, etc., that cooperate with TradPlus or affiliates.

5. Laws and Regulations: TradPlus and Developer will at all times comply with any applicable laws, regulations, departmental rules and industry norms of the countries and regions, including the People's Republic of China (including Hong Kong, Macao and Taiwan), the location of the partners in the global optimization of mobile advertising monetization, and where ad monetization services are implemented.

6. Privacy Policy: Refers to the Privacy Protection Statement (which can be found at https://www.tradplusad.com/privacy-policy/) issued by the TradPlus platform to protect personal information, user information and other personal data.

II. Applicable Rules

1. According to the prompts on the system page, you will provide accurate, complete, true and valid supporting documents relevantly, including but not limited to: your complete, legal and valid contact information, such as email address, telephone number, address or other necessary supporting documents. You shall bear the losses caused by your irregularities, wrong or false filling.

2. The functions that can be provided and implemented by the TradPlus Platform include but have no limitation: (1) the login and registration of the account; (2) the registration of the application and advertising placement; and (3) the data statistics and report query.

3. This Terms may be adjusted and revised unilaterally at any time due to the operation arrangement of the TradPlus platform or the requirements of laws and regulations. You understand and agree that:

(1) Our notification methods include one or more of the TradPlus Platform by SMS, email and other methods. TradPlus does not bear the relevant losses and consequences caused by your failure to view the relevant content of such notifications in time.

(2) Once adjusted, this Terms shall come into effect on the effective date of the notice. If you dispute any terms or conditions of the Terms, you will immediately stop using TradPlus advertising optimization services and notify us in writing to terminate this Terms. If you continue to use the TradPlus advertising optimization services in any way, you will be deemed to have recognized and accepted the modified agreement.

(3) After adjusting this Terms, if your qualifications no longer meet the requirements of TradPlus, you will immediately contact us in writing to change, modify, supplement the relevant supporting documents, or immediately stop the use of TradPlus advertising services and notify us in writing to terminate this Terms, otherwise we have the right to immediately terminate the provision of this service. All legal consequences shall be borne by you.

III.Statements and Warranties

1. In the process of using the TradPlus Platform services, you shall not violate the relevant provisions of national laws and regulations in any form, or shall not infringe on any legitimate rights and interests of any Third Party. You will ensure that the media resources provided by Developer for cooperating with this Terms ("Developer Media Resources"), which comply with the requirements of the relevant regulations, policies and moral norms within the cooperation area, and do not infringe any legitimate rights and interests of any Third Party, otherwise we may unilaterally terminate this Terms immediately, and have the right to claim you to compensate TradPlus for all direct and indirect losses suffered thereby.

2. You will ensure that your media resources do not have traffic abnormalities, including but not limited to the following situations: a.creating false browsing, clicking, trading behavior,etc.; b.traffic hijacking; c.behaviors of automatic jumping and malicious loading d.other cases of abnormal traffic distribution (such as traffic sources, distribution, etc. )with our reasonable reasons to prove.

3. You shall ensure that you do not delete or modify the SDK code at will.

4. You will not copy, store, edit, publish, rent, sell, or otherwise disclose or use the data provided by the TradPlus.

5. You will properly keep the account number and relevant information registered on the TradPlus service platform. We will not be liable for any loss caused by the account theft not directly attributable to TradPlus.

6. You shall ensure that the interests and reputations of TradPlus, TradPlus affiliates, and other users using the TradPlus platform services are not harmed by any improper means.

7. In order to optimize the products and services, TradPlus, affiliates and the Third Party cooperation platforms shall have the right to continuously adjust the platform services and specific services, including the adjustment of the platform and specific service name, function and domain name, which shall not affect the validity of this Terms.

8. Both Parties confirm and agree that either Party may use the business name, trademark, logo, or any other similar text or graphics of the other Party in its own promotional materials (including, but not limited to, web pages, printed materials, audio recordings, etc.) to indicate the cooperation between the two parties.

IV. Force Majeure

1. In the event of unavoidable and insurmountable natural disasters, flood, earthquake, acute infectious disease, strike, war, military action (whether declared or not), terrorism, changes of laws or regulations, acts of government(“Force Majeure event”),etc., the Party in the event of force majeure shall be exempted from the liability for breach of contract during such period.

2. The Party, who is unable to perform this Terms due to force majeure, shall notify the other party of the force majeure event and the predicted impacts within five (3) business days from the date of the occurrence of such event. In addition, the Party’s failure to perform this Terms due to the force majeure event shall resume performance of their obligations under this Terms as soon as possible after the elimination of such event. If the actual performance of the Party subjected to force majeure is meaningless, or the duration of the force majeure exceeds 90 days, either Party may terminate this Terms by notifying other party in writing.

V. Breach and Termination

TradPlus reserves the right within its discretion to terminate or suspend all or part of your access to the Site without prior notice or any liability, if you harm the interests of other users, third parties, retailers, sponsors, licensors, service providers, or the Sites.

VI. Intellectual Property Rights Declaration

1.TradPlus is the intellectual property right holder of the TradPlus Platform. All copyrights, trademarks, patents, trade secrets and other intellectual property rights of TradPlus Platform, and all information related to TradPlus Platform (including but not limited to text, pictures, audio, video, charts, diagrams, interface design, layout framework, relevant data or electronic documents, etc.) are protected by the laws and regulations of the People's Republic of China and the corresponding international treaties. TradPlus enjoys the foregoing such rights, except the relevant rights owned by the right holder in accordance with the law.

2. Without the written consent of TradPlus or the relevant right holders, you may not implement, utilize or transfer such intellectual property rights to any third party in purposes of any commercial or non-commercial.

VII.Confidentiality and Privacy Policies

1. You agree that confidential information of TradPlus will not be disclosed without TradPlus's prior written consent. TradPlus Confidential Information does not include the following information: which you have known prior to using the service, those disclosed through no fault of yours, that independently developed by you without using TradPlus Confidential Information, or what legally provided by a third party without violating the confidentiality rules.

2.If your application or online service is direted to children, you shall ensure full compliance with the US Children's Online Privacy Protection Act (“COPPA”) and the European Union's General Data Protection Regulation ("GDPR"), China's "People's Republic of China Personal Information Protection Law ("PIPL") and any applicable laws and regulations and Google Play Privacy and Family Policy on the protection of children's data, and ensure that you have taken the necessary technical measures to ensure that the registration and use of your application software is in children's With the consent or permission of parents or legal guardians. At the same time, you have formulated sufficient and compliant user agreements and privacy policies, and obtained all necessary authorization consents.

3. You shall strictly comply with any applicable laws and regulations, mutual agreements, user instructions, TradPlus's privacy policy and its updated or revised latest version, and ensure that the right holder has been reasonably and fully informed (including the purpose of the sharing, the type of recipient and the possible consequences,etc.), and has obtained its authorized consent before sharing user information, personal information and other personal data to TradPlus. If the data processing of end users in Europe is involved, you must correctly integrate the TradPlus SDK, and you shall provide end users with a clear notice and obtain all necessary consents to allow TradPlus to collect, use, share, and other data processing for advertising purposes, and you are fully responsible for the correct delivery to TradPlus of the end user's consent flag values.

VIII. Governing Law and Dispute Settlement

1. This Terms is signed in Putuo District, Shanghai, the People's Republic of China.

2. The conclusion, performance, modification, termination, rescission and all other matters of this Terms shall be governed by the mainland laws of the People's Republic of China, excluding the Conflict Law.

3. Any disputes arising from this Terms shall be settled through friendly negotiation; if nothing can be reached, the dispute shall be submitted to the jurisdictional People's Court of Putuo District, Shanghai, for settlement.
